- 14. General Information
The Terms and Conditions/Terms of Use contained hereinafter (“Terms”) shall apply to the users of the website unibecktechnologies.com, Unibeck mobile applications and any other linked pages, products, software’s, API(s), features, content or application services (“Services”) in connection therewith offered from time to time (collectively referred to as “Platform”/ “Website”) by Unibeck Technologies (“Unibeck”, or “we” or “our” or “us”).
Any individual or business (“you” or “Merchant”), logging in to or using the Website (even when such person does not avail of any services provided in the Website) shall be presumed to have read and unconditionally and irrevocably accepted the Terms set herein for usage of Services of Unibeck.
By continuing to use the Website, you are legally bound by these Terms and if you do not agree to any of the conditions listed below then please do not use the platform or Services of Unibeck any further.
1. Definitions
- “Acquiring Bank” shall mean a bank or financial institution that processes credit or debit card payments on behalf of any Merchant.
- “Authentication” shall mean the process by which Customer identification is authenticated in the Processing Mechanism.
- “Application Form” shall mean an application submitted by the Merchant to Unibeck for availing the Services which shall include the data shared by You while logging in the Platform of Unibeck and filling in the requisite data/details for the purpose of availing the Services.
- “Authorization” shall mean the process by which the availability of requisite balances / limit (to conduct the transaction requested) and approval of the Direct Debit Service Providers on the Customer’s Debit Card or Bank Account is established in the Processing Mechanism.
- “Chargeback” shall mean an approved and settled Transaction that an Issuer, upon receiving a chargeback request from a Customer, reverses to a Payment Service Provider for the Transaction value to be ultimately reversed to the Customer.
- “Customer Payment Amount” shall mean the total amount paid by the Customer towards the Merchant Services which shall include, inter alia, charges and other taxes, duties, costs, charges, Unibeck Fees and expenses in respect of the Merchant Services.
- “Customer” shall mean any person or entity who is buying a product or service from a third-party website (Merchant’s website), mobile application and is paying using Unibeck payment instruments.
- “Data Protection Law” including but not limited to (i) Information Technology Act, 2000 (ii) Digital Personal Data Protection Act, 2023 and rules made thereunder, as amended, modified or substituted from time to time.
- “Fees or Charges” shall mean such fee that has been agreed between the Parties payable by the Merchant to Unibeck or directly chargeable by Unibeck to the Customer.
- “Merchant” or “User” shall mean any person or business entity using the services or products of Unibeck Technologies and uses application, products, APIs and collects/ disburses payments to an end customer.
- “Nodal/Escrow Account” shall mean an intermediary account governed and operated by the acquiring bank and that is directed for merchant settlements by Unibeck Technologies.
- “Payment Gateway” shall mean the protocol that may be stipulated by Unibeck to enable the Authentication of Customers and the Authorization of payments on valid cards in accordance with the Processing Mechanism.
- “Products and Services” shall mean the services listed on Unibeck including the services mentioned over the website or related pages of unibecktechnologies.com
- “Transaction” shall mean a financial transaction conducted by the Customer through Unibeck Services.
2. Eligibility
You affirm that you are at least Eighteen years of age and are fully able and competent to understand the terms, conditions, obligations, affirmations, representations, and warranties set forth in these terms, and to abide by and comply with these terms.
You affirm that you are eligible to contract under applicable laws and you are further authorised under law to avail our Services, the details of which you have provided in our Website. If you are using or accessing the Website as a representative of any person/entity, you acknowledge that you are legally authorised to represent such person/entity.
You represent and warrant that You have full power and authority for using the Services and are in strict compliance of all laws. These Terms as accepted by you shall be read along with and in addition to the laws in force from time to time.
3. Sign Up and Registration
In order to avail the Services, You must be registered with Unibeck. You shall provide Unibeck with all the necessary documents as required by Unibeck for successful identification, registration and verification.
By registering with Unibeck, you agree to provide true, accurate, current and complete information, failing which, Unibeck reserves the right to, at any point of time, reject your registration and terminate his right to use or access the Website and/or avail the Services.
We may collect the following information:
- Name, Trade Name, Brand Name, Legal Name, etc.
- Contact information including but not limited to email address, identity proof, address proof.
- User Information, user activity, Sensitive personal data such as financial information including but not limited to details of credit cards, debit cards, bank account and KYC documents.
- Details of transactions you carry out through our Platform.
When you register with Unibeck, a User Account shall be created, that is associated with Your username, password, and other such identifying information as provided by You.
4. Use of Services
The Services may be used by You for making and receiving payments from/to third parties. In order to enable You to use the Services, a URL with login credentials shall be communicated to You on your mobile number or email address and You irrevocably and unconditionally accepts sole responsibility for use, confidentiality and protection of said login credentials.
Unibeck reserves the right but shall have no obligation to verify the authenticity of the Transaction other than by means of verification of your basic KYC information.
You agree that Unibeck accepts all instructions originating from his account in good faith and in a manner consistent with commercially reasonable security standards. You hereby agree to indemnify and hold Unibeck harmless for direct or indirect losses sustained as a result of the disclosure of sensitive information by or through You.
You can receive payments from the customers or other payers or suppliers by:
- IMPS/ NEFT/ RTGS
- Credit/ Debit cards
- Netbanking
- UPI both for collections and payables
5. Chargebacks
A Chargeback shall mean a Transaction that is uncollectible and returned to the acquiring bank/ Unibeck by customer or issuing bank for a refund to the concerned Customer due to reasons such as refusal to honour payment, defective products, or unauthorized transactions.
If the Customer wishes to attempt to chargeback/ retract a payment, he must notify the respective bank and Unibeck immediately and provide all required information.
In the event of a Chargeback situation arising in case of any Products purchased by a Customer or Payer, for which payment has not yet been made to You by Service Provider, You shall be advised by Unibeck to resolve the issue with the Customer or Service Provider within 45 days.
Unibeck shall not be responsible to make payments in respect of any Chargeback unless it has received the requisite amount from the concerned acquiring bank/ Service Provider/ Payee/User. In the event that Unibeck receives a Chargeback amount from the acquiring bank/ Service Provider/ You, Unibeck is entitled to pass on the amount received to the User/Payer within 7 days of receipt.
You hereby agree and understand that Unibeck shall not be responsible or liable to process any refund/Chargeback after a period of 180 days from the date of the Transaction.
6. Settlements
In consideration of the Services rendered by Unibeck Technologies, a User/You agree to pay a non-refundable fee (apart from Chargebacks) which shall be in consideration of all products, platform, APIs and other related financial services that have been listed on Unibeck Website and mobile application.
You shall pay to Unibeck, a non-refundable, one time set up fee and/or the Fee as detailed in the Application Form or Platform while signing up for Unibeck Services. The Fee may be revised periodically and at such intervals as are intimated by Unibeck to Merchant.
Unibeck has a Nodal/Escrow account as per RBI’s Payments and Settlements Act, where we shall instruct the Nodal/Escrow bank to transmit the payments payable to You, after deducting our fee, from the Nodal/Escrow to You bank account in “T” +2 or maximum “T” +3 working days. “T” being the date of transaction.
7. Termination
In the event that Unibeck suspects, on reasonable grounds, that You or User has committed a breach of these Terms or any other agreement with Unibeck or any act of dishonesty or fraud against Unibeck/ any Service Provider, Unibeck shall be entitled to:
- Suspend all payment under these Terms;
- Deactivate/ suspend your User Account and disable your password; and
- Terminate User’s access to the Website or the Services; pending enquiries by Unibeck.
User may cancel/ deregister his User Account at any time by sending an us email. Please note that once your Account is cancelled, Unibeck reserves the right to refuse to return any data or information that may reside on its servers or other equipment.
8. Copyright/ Original Content
All content included in or made available through our website and the services associated with it, such as text, pictures, graphics, logos, button icons, images, audio clips, digital downloads or any other mode of data compilations belongs to us, and shall not be used by anyone without our consent in writing.
You shall prominently display, on the Merchant Website and in other online marketing materials if so requested, a statement/logo/image provided by Unibeck.
You, your employees or your agents shall not use the Payment Gateway Network, in any form whatsoever, so as to design, realize, distribute or market a similar or equivalent software program and not adapt, modify, transform or rearrange the Payment Gateway Network for any reason whatsoever.
9. Compliance with the Laws
You hereby also agrees unconditionally that you shall undertake compliances to all applicable anti-corruption law (including but not limited to the provisions of Foreign Corrupt Practices Act, 1977, Prevention of Corruption Act, 1988, Prevention of Money Laundering Act, 2002) which prohibits the User, its officials, representations, agents, or any other person associated with or acting on behalf of such User from giving, offering, promising to offer, receiving/ accepting or acting in any other manner so as to induce a payment, gift, hospitality or anything of value to government officials or public servants.
Where any Personal Data is shared with You under or in connection with this Agreement, You shall at all times comply with its obligations under the Data Protection Law.
10. Obligations of the User
You guarantee and confirm that you shall not contribute to any content or otherwise use the Services in a manner that:
- Infringes or violates the intellectual property rights or proprietary rights of any third party.
- Violates any law, statute, ordinance or regulation.
- Is harmful, fraudulent, deceptive, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, or otherwise objectionable.
- Involves commercial activities and/or sales without Company’s prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes.
You shall clear all the dues payable to Unibeck before winding up your business operations and/or terminating the Payment Gateway Network or termination of relationship with Unibeck.
11. Marketing Restrictions
If you are sending emails, directly or indirectly in connection with any Digital good or Physical products then you agree, acknowledge and represent that all emails and the procurement of email addresses will be authentic and shall be in compliance to applicable government rules & regulations.
You shall not be sending any extreme content, including but not limited to racial content, any religious sentimental message, pornographic and sexual content.
12. Indemnification and Remedy
You shall keep Unibeck indemnified from and against any and all liability (including but not limited to liabilities, judgments, damages, losses, claims, costs and expenses,) or any other loss that may occur, arising from or relating to any claim, suit or proceeding brought against Unibeck by another User/ Service Provider/ third party for reasons including, but not limited to delivery, non-delivery or delay, deficiency or mistake in respect of the Products sold.
You further agree that in the event that You misuse the Salt-Key provided by Unibeck, and/ or if the respective Card Organizations impose a penalty or take any action against Unibeck due to the actions, inactions, or default by You, then You shall be liable to indemnify and compensate/ reimburse Unibeck for all such costs, expenses and other damages incurred.
13. Limitation and Termination of Services
You acknowledge and agree that we reserve the right at any time to modify, limit or discontinue the Service (or any part thereof) with or without notice and that Unibeck shall not be liable to you or to any third party for any such modification, suspension or discontinuance of the Service.
You acknowledge and agree that Unibeck in its sole and absolute discretion, has the right to delete or deactivate your account, block your e-mail or IP address, or otherwise terminate your access to or use of the Service, immediately and without notice, and remove and discard any Content within the Service, for any reason or no reason at all.
You agree that the role of the Unibeck shall be limited to Services provided and we shall not be responsible in any manner for any loss, claim, damage which may be incurred or suffered by the you, Customer or any third party or for any consequence whatsoever which may arise or be connected with the Payment Gateway Network.
14. General Information
These Terms and the other policies posted on our website constitute the complete and exclusive understanding and agreement between you and Unibeck and govern your use of the Service and the Website superseding all prior understandings, proposals, agreements, negotiations, and discussions between the parties, whether written or oral.
This Terms shall be governed and construed in accordance with the rules and regulations of the Republic of India. Any dispute arising out of the formation, performance, interpretation, nullification, termination or invalidation of this policy or arising therefrom or related thereto in any manner whatsoever, shall be settled by arbitration in accordance with the provisions set forth under the Arbitration & Conciliation Act, 1996.
